Navigator Gas ditches Marshall Islands for UK in $183m restructuring
Shareholders to vote on November 16 on plan to align legal domicile with London operations
Navigator Gas, the New York-listed owner of a fleet of liquefied gas carriers, has announced plans to relocate its corporate domicile from the Marshall Islands to the United Kingdom. The proposed restructuring will be put to a shareholder vote next month as part of a broader effort to align the company’s legal structure with its operational base in London.
The company has entered into a merger agreement with its wholly owned British subsidiary, Navigator Gas plc, which would become the new parent company of the group. Under the terms of the transaction, existing shareholders would receive one share in the new UK-based entity for each share they currently hold. The restructured company would retain its listing on the New York Stock Exchange.
Strategic advantages of the UK move: Navigator Gas
Navigator Gas has highlighted several benefits of the relocation, including the UK’s extensive tax treaty network, its corporate governance framework, and its shipping tonnage tax regime. These factors were cited as key reasons for the shift, which the company believes will better support its long-term growth.

Chief Executive Mads Peter Zacho stated that the change would “align the group’s corporate structure more closely with its operational base and provide a platform for further investments.” The company has emphasized that the move is not expected to have any material impact on employees, vessel operations, or customer services.
Shareholder approval and recent operational changes
Shareholders are scheduled to vote on the proposed domicile change on November 16. Approval will require a majority of outstanding voting shares, and the completion of the transaction remains subject to customary conditions.
The relocation follows a series of strategic adjustments within the company. Earlier this year, Navigator Gas agreed to sell eight smaller gas carriers and its stake in the Unigas joint venture to an investor group led by Bernhard Schulte and Sloman Neptun. The deal, valued at approximately $183 million, was part of the company’s strategy to focus on higher-specification gas tonnage.
Navigator Gas currently operates a fleet of 48 semi- or fully refrigerated gas carriers, including 18 vessels capable of transporting ethylene and ethane. The company also holds a 50% stake in an ethylene export terminal at Morgan’s Point, Texas.
