Icon Energy shareholder demands $20m shake-up to stop dilution haemorrhage
Hampton Financial proposes swapping preferred shares for a $20m instrument.
Nasdaq-listed Greek shipping firm Icon Energy is confronting a shareholder revolt over its capital structure, with a major investor accusing the company of diluting ordinary shareholders through repeated equity issuances.
Canada’s Hampton Financial, which owns 9% of Icon Energy through 325,000 shares, has sent a letter to the company’s management demanding sweeping changes. The proposals include restructuring the company’s preferred shares, adjusting dividend policies, and appointing a Hampton-nominated director to the board.
Hampton’s demands and dilution concerns
Hampton, led by CEO Peter Deeb, claims Icon Energy has raised around $25 million through common share sales since its 2024 Nasdaq listing. The investor argues these issuances have significantly reduced the value of ordinary shareholders’ stakes while benefiting the company’s controlling shareholder, CEO Ismini Panagiotidi.
The firm is pushing for Icon to replace its existing Series A preferred shares with a new $20 million instrument. This would carry a 6% fixed cash dividend and conversion rights at $5 per ordinary share. Additionally, Hampton wants a one-for-one share dividend for current ordinary shareholders, measures it says would address dilution without stripping Panagiotidi of control.
Icon Energy’s operations and market position
Founded in 2023, Icon Energy operates a fleet of three bulk carriers. After its July 2024 Nasdaq debut, the company expanded through secondhand vessel acquisitions. Its most recent deal involved chartering the 63,668 dwt ultramax Charlie on an index-linked contract extending to 2027.
In June, Icon made its first public move beyond dry bulk shipping by acquiring a minority stake in two containership projects. The company has not publicly responded to Hampton’s proposals, and no legal action has been initiated. The demands remain unaddressed pending board or shareholder action.
