Freightos founder forces shareholder vote over AI-driven strategy clash
Freightos shareholders will decide in December whether to back founder Zvi Schreiber’s push to overhaul the company’s leadership and strategy. The board has agreed to put three of Schreiber’s proposals to a vote at the annual general meeting, though the exact date remains unconfirmed.
Schreiber, who stepped down as CEO in January 2026 and resigned from the board in February, argues that Freightos’ shift toward its Solutions business, selling software and data products, over its digital freight-booking platform is a strategic misstep. He warns that advances in artificial intelligence could undermine the company’s software offerings, making them easier for competitors to replicate.
Founder challenges board’s software-first approach: Freightos
“To bet the company on solutions first, just when AI is really threatening it, was a very bad decision,” Schreiber said. He remains a roughly 6% shareholder and has spent months pressing the board through correspondence and legal channels before forcing the shareholder vote.
Schreiber’s resolutions include removing Chairman Udo Lange as a director, replacing the current three-year staggered board terms with annual elections, and a nonbinding recommendation to appoint a chairman with experience scaling growth-stage tech companies. The latter proposal, however, was excluded from the shareholder vote, a decision Freightos has not publicly addressed.
Freightos, incorporated in the Cayman Islands, currently elects directors in staggered three-year terms. Schreiber’s push for annual elections aims to increase accountability, arguing that shareholders should have the chance to evaluate leadership performance yearly. “The board has gone in the wrong direction and delivered very bad results for shareholders,” he said, emphasizing that his criticism is not personal but focused on strategy.
Proposals target leadership and accountability
The company’s current CEO, Pablo Pinillos, took over after Schreiber’s departure. Founded in 2012, Freightos operates a digital platform for freight pricing, booking, and management, alongside its software and data products for logistics firms.
Shareholders will now weigh Schreiber’s vision, prioritizing rapid platform growth, against the board’s strategy as the December vote approaches.
