$1.46bn FPSO bond smashes records—why investors are betting on Angola’s oil

Yinson Production prices largest-ever FPSO project bond outside Brazil, backed by Angola’s Agogo vessel

fpso project bond
The Agogo FPSO, leased to Azule Energy Angola, operates on Block 15/06 offshore Angola.

The deal carries a 6.517% fixed coupon, payable semi-annually, and is scheduled to mature in 13.3 years. Settlement is expected on October 21, with the notes slated to trade on the London Stock Exchange’s International Securities Market under the Bloomberg ticker YPAGAO.

The Agogo FPSO bond is not merely a refinancing exercise. It represents the first time an FPSO project outside Brazil has accessed the capital markets at this scale, opening a new avenue for operators seeking long-term funding.

Markus Wenker, Yinson Production’s Chief Financial Officer, underscored the significance of the transaction:

“We are very pleased with the strong support from institutional investors for this offering, which is our third FPSO project bond in three years and sets a new benchmark as the largest FPSO project bond to date. It also represents an important milestone for the asset class as a whole, as this is the first FPSO project bond outside Brazil, broadening and diversifying the investable universe for investors seeking exposure to infrastructure assets backed by highly visible cash flows and strong counterparties.”

The proceeds will primarily refinance debt linked to the Agogo FPSO, with a portion allocated to reserve accounts, transaction costs, and potential equity distributions from excess cash flow. The vessel operates under a 15-year firm bareboat charter with Azule Energy Angola, with options to extend the contract by up to five years, ensuring long-term revenue visibility for investors.

The Agogo FPSO is not just a financial asset; it is a technological showcase. The vessel incorporates the industry’s first pilot post-combustion carbon capture system on an FPSO, alongside a closed flare system, hydrocarbon blanketing, combined cycle technology, automated process controls, and all-electric drives.

Yinson Production’s approach reflects a broader industry trend: integrating emissions-reducing technologies into high-capacity production assets.

The transaction was coordinated by a syndicate of global banks, including Citigroup, HSBC, JPMorgan, and Santander as global coordinators and joint bookrunners, with First Abu Dhabi Bank, MUFG Securities Asia, and Samuel A. Ramirez & Co acting as co-managers.

The 15-year charter with Azule Energy Angola, a joint venture between BP and Eni, provides a robust counterparty, while the vessel’s cutting-edge technology mitigates operational and environmental risks. The deal’s success signals growing confidence in FPSO-backed debt as a viable asset class, particularly in regions outside Brazil, where such financings have historically dominated.

The implications extend beyond Yinson Production. The bond’s pricing and investor demand suggest that the offshore energy sector is increasingly viewed as a stable, long-term play, even amid volatility in commodity markets. Operators with similar assets may now explore capital markets as an alternative to traditional bank financing, potentially unlocking billions in liquidity for future projects. The Agogo FPSO deal could also pave the way for more FPSO financings in Africa, where offshore production is expanding rapidly.

Looking ahead, the next milestone is the October 21 settlement date, after which the notes will begin trading on the London Stock Exchange. Investors and industry observers will be watching closely to see how the bond performs in secondary markets, as its success could set the tone for future FPSO financings. For Yinson Production, the deal reinforces its position as a leader in floating production solutions, with a pipeline of projects that could benefit from similar financing structures.

As the offshore energy sector continues to evolve, the Agogo FPSO bond stands as a testament to the industry’s ability to innovate, both technologically and financially. The combination of high production capacity, emissions-reducing technology, and long-term charter agreements makes this a landmark transaction, one that could redefine how offshore assets are funded in the years to come.
